1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and HachiAI Inc. ("HachiAI", "we", "us", or "our"), a corporation incorporated under the laws of Canada, with its principal office at 207 Queens Quay W, Toronto, ON M5J 1A7, Canada.
These Terms govern your access to and use of the Doculytix platform, including the Doculytix website at doculytix.ai (the "Website"), the Doculytix Studio at studio.doculytix.ai, the Doculytix REST API and SDKs (Python, Node, Go), the Doculytix MCP Server, and all related documentation, features, and services (collectively, the "Services").
By creating an account, accessing the Website, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy (available at doculytix.ai/privacy), and any additional terms applicable to specific features or services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Services.
2. Definitions
The following defined terms are used throughout these Terms:

| "Document Data" | Any documents, files, images, or content that you upload to or process through the Services, including the data extracted therefrom. |
| "Enterprise Agreement" | A separate Master Services Agreement, Data Processing Agreement, or other written agreement between you (or your organization) and HachiAI governing Enterprise-tier use of the Services. |
| "Extracted Data" | The structured output (JSON, XML, or other formats) generated by the Services from your Document Data. |
| "MCP Server" | The Model Context Protocol server included with Enterprise plans that enables AI agents to connect to the Doculytix document stream. |
| "Plan" | The pricing tier under which you access the Services: Starter (Free), Growth, or Enterprise. |
| "Services" | The Doculytix platform, Website, API, SDKs, MCP Server, Studio, documentation, and all related features and services provided by HachiAI. |
3. Eligibility
To use the Services, you must be at least 18 years of age (or the age of legal majority in your jurisdiction), have the legal capacity to enter into a binding agreement, and not be prohibited from using the Services under any applicable law or regulation.
If you are accessing or using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms, in which case "you" and "your" refer to both you individually and the entity.
4. Account Registration and Security
4.1 Account Creation
To access certain features of the Services, you must create an Account by registering at studio.doculytix.ai. You agree to provide accurate, current, and complete information during registration, maintain and promptly update your Account information, and keep your login credentials and API Keys confidential and secure.
4.2 Account Security
You are solely responsible for all activity that occurs under your Account or through your API Keys, whether or not authorized by you. You must notify us immediately at hello@doculytix.ai if you become aware of any unauthorized use of your Account or API Keys, or any other breach of security. HachiAI is not liable for any loss or damage arising from your failure to secure your Account credentials or API Keys.
4.3 API Key Management
API Keys are personal to your Account and must not be shared, published, embedded in client-side code, or otherwise exposed to unauthorized parties. You are responsible for rotating API Keys if you suspect compromise. HachiAI reserves the right to revoke API Keys that are found to be compromised, shared in violation of these Terms, or used in a manner that threatens the security or integrity of the Services.
5. Services and Plans
5.1 Service Description
Doculytix is an AI-powered document understanding platform that extracts structured data from unstructured documents. The Services include document ingestion and processing (PDFs, scanned images, photographs), schema-driven field extraction, table extraction, OCR with page rotation and PDF splitting, confidence scoring and validation, REST API access with SDKs for Python, Node, and Go, the Doculytix Studio web interface, and additional features as described on the Website and in our documentation at docs.doculytix.ai.
5.2 Plans and Features
The Services are offered under three plans, each with different feature sets, usage limits, and pricing:

Feature availability, credit allocations, rate limits, and pricing are subject to change. Current pricing and plan details are available at doculytix.ai. We will provide reasonable notice of material changes to plan features or pricing.
5.3 Credits
Usage of the Services is measured in Credits, where one Credit equals one page processed. Credits are allocated based on your Plan. Unused credits on the Starter plan do not expire. Credits on the Growth plan are allocated monthly and unused credits do not roll over to the following month unless otherwise specified. Additional credits or custom credit allocations are available under Enterprise Agreements. HachiAI reserves the right to modify credit allocation and expiration policies with reasonable notice.
5.4 Service Availability
HachiAI will use commercially reasonable efforts to maintain the availability of the Services. However, the Services are provided on an "as available" basis, and we do not guarantee uninterrupted or error-free operation. Scheduled maintenance windows will be communicated in advance where practicable. Enterprise clients with SLA guarantees are governed by the terms of their Enterprise Agreement.
6. Your Data
6.1 Ownership of Document Data
You retain all right, title, and interest in and to your Document Data and Extracted Data. HachiAI does not claim ownership of any content you upload to or process through the Services. By using the Services, you grant HachiAI a limited, non-exclusive, worldwide license to access, process, store, and transmit your Document Data solely for the purpose of providing, maintaining, and improving the Services as described in these Terms and our Privacy Policy.
6.2 Responsibility for Document Data
You are solely responsible for the content and legality of all Document Data you upload to or process through the Services. You represent and warrant that you have all necessary rights, permissions, and consents to upload and process Document Data through the Services, your use of the Services in connection with your Document Data does not violate any applicable law, regulation, or third-party right (including intellectual property, privacy, and data protection rights), and you will comply with all applicable data protection laws when Document Data contains personal information of third parties.
6.3 Data Processing
When the Services process Document Data containing personal information on your behalf, HachiAI acts as a data processor (or "service provider" under applicable law), and you act as the data controller. You are responsible for ensuring that you have an appropriate lawful basis for processing such personal information. Enterprise clients requiring a formal Data Processing Agreement should contact us at hello@doculytix.ai.
6.4 Data Retention and Deletion
Document Data processed through cloud-hosted plans is retained in accordance with the applicable plan terms and our Privacy Policy. You may request deletion of your Document Data at any time by contacting hello@doculytix.ai. Upon Account termination, HachiAI will delete or return your Document Data within 30 days, unless retention is required by law. For Enterprise clients, data retention and deletion are governed by the applicable Enterprise Agreement.
6.5 Aggregated and Anonymized Data
HachiAI may collect, use, and disclose aggregated, anonymized, or de-identified data derived from your use of the Services (including processing volumes, extraction accuracy metrics, and platform performance data) for purposes such as improving the Services, generating benchmarks, and creating marketing materials. Such data will not identify you or any individual.
7. Acceptable Use
7.1 Permitted Use
You may use the Services only for lawful purposes and in accordance with these Terms. You agree to use the Services in compliance with all applicable laws, regulations, and industry standards, and not to exceed the rate limits, page limits, or other usage restrictions associated with your Plan.
7.2 Prohibited Conduct
You agree not to:
- Use the Services to process documents that you do not have the right to process, or that contain content that is illegal, defamatory, obscene, or otherwise objectionable.
- Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or models underlying the Services.
- Circumvent, disable, or interfere with any security, authentication, rate-limiting, or access-control features of the Services.
- Use automated means (including bots, scrapers, or crawlers) to access the Services in a manner that exceeds reasonable usage or is intended to overload, disrupt, or degrade the Services.
- Share, publish, or embed API Keys in client-side code, public repositories, or any location accessible to unauthorized parties.
- Resell, sublicense, or redistribute the Services or access to the Services to third parties without the prior written consent of HachiAI.
- Use the Services to build a competing product or service, or to benchmark the Services for publication without HachiAI's prior written consent.
- Use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party's use of the Services.
- Upload or transmit any viruses, malware, or other harmful code through the Services.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
7.3 Enforcement
HachiAI reserves the right to investigate and take appropriate action in response to any suspected violation of these Terms, including suspending or terminating your Account, revoking API Keys, removing content, and reporting violations to law enforcement authorities. We may, but are not obligated to, monitor use of the Services for compliance with these Terms.
8. Intellectual Property
8.1 HachiAI's Intellectual Property
The Services, including the Doculytix platform, Website, APIs, SDKs, MCP Server, documentation, algorithms, models, software, user interfaces, designs, trademarks, logos, and all related intellectual property, are and remain the exclusive property of HachiAI Inc. and its licensors. These Terms do not grant you any right, title, or interest in the Services except for the limited right to use the Services as expressly set forth herein.
The Doculytix name, logo, and all related product names, service names, design marks, and slogans are trademarks of HachiAI Inc. You may not use these marks without our prior written permission.
8.2 Feedback
If you provide HachiAI with any feedback, suggestions, ideas, or recommendations regarding the Services ("Feedback"), you hereby grant HachiAI a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, modify, incorporate, and otherwise exploit such Feedback for any purpose without obligation to you. You acknowledge that Feedback is provided voluntarily and that HachiAI is under no obligation to implement or compensate you for any Feedback.
8.3 Open-Source Components
The Services may incorporate or be distributed with open-source software components. To the extent required by the applicable open-source licenses, the terms of such licenses will apply in lieu of these Terms with respect to those components. A list of open-source components and their licenses is available upon request.
9. Payment and Billing
Access to the Starter plan is free of charge, subject to the usage limits described in Section 5. Access to the Growth plan requires payment of the applicable monthly subscription fee. Enterprise pricing is set forth in the applicable Enterprise Agreement. All fees are quoted in U.S. dollars unless otherwise specified. Payments are processed by Stripe and other authorized payment processors on our behalf. By providing payment information, you authorize HachiAI (through its payment processors) to charge the applicable fees to your designated payment method. You represent that you are authorized to use the payment method provided. Credit card numbers and bank account details are processed and stored by our payment processors and are not stored on HachiAI's systems.
Growth plan subscriptions are billed monthly in advance and automatically renew at the end of each billing cycle unless cancelled. You may cancel your subscription at any time through your Account settings. Cancellation takes effect at the end of the current billing cycle, and you will retain access to Growth plan features until that date. All fees are exclusive of applicable taxes (including sales tax, VAT, GST, and similar taxes). You are responsible for paying all taxes associated with your use of the Services, except for taxes based on HachiAI's net income. Fees paid are generally non-refundable, except as required by applicable law or as expressly provided in an Enterprise Agreement. HachiAI may, at its sole discretion, issue credits or refunds in cases of documented service failures or billing errors. If payment is not received by the due date, HachiAI may suspend or restrict your access to the Services until the outstanding balance is paid. Accounts with overdue balances for more than 30 days may be downgraded to the Starter plan or terminated at HachiAI's discretion.
10. Confidentiality
Each party may receive confidential information from the other party in connection with the Services ("Confidential Information"). Confidential Information includes, but is not limited to, business plans, technical data, product designs, pricing, customer lists, and any information designated as confidential or that a reasonable person would understand to be confidential.
The receiving party agrees to use Confidential Information only for the purpose of fulfilling its obligations under these Terms, protect Confidential Information with at least the same degree of care it uses for its own confidential information (and in no event less than reasonable care), and not disclose Confidential Information to any third party without the disclosing party's prior written consent, except to employees, contractors, and agents who have a need to know and are bound by confidentiality obligations at least as protective as those in these Terms.
Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party without restriction prior to disclosure, is independently developed by the receiving party without use of the disclosing party's Confidential Information, or is rightfully received from a third party without restriction.
The receiving party may disclose Confidential Information to the extent required by law, regulation, or court order, provided that the receiving party gives the disclosing party prompt written notice (to the extent legally permitted) and cooperates with any efforts to seek protective treatment.
11. Security
HachiAI is committed to maintaining the security of the Services and your data. We are SOC 2 Type II certified and HIPAA compliant, and we implement industry-standard technical and organizational security measures, including encryption of data in transit (TLS 1.2+) and at rest (AES-256), multi-factor authentication, role-based access controls, regular vulnerability scanning and penetration testing, intrusion detection and prevention systems, and documented incident response procedures.

Notwithstanding the foregoing, no method of transmission over the internet or electronic storage is completely secure. While we strive to use commercially reasonable means to protect your data, we cannot guarantee its absolute security.
12. Third-Party Services and Integrations
The Services may integrate with or provide access to third-party services, platforms, or tools (including AI agent frameworks via the MCP Server). HachiAI does not control, endorse, or assume responsibility for any third-party services. Your use of third-party services is subject to the terms and privacy policies of those third parties. HachiAI is not liable for any loss, damage, or claim arising from your use of third-party services, including any data shared with or processed by such third parties through integrations with the Services.
13. Warranties and Disclaimers
HachiAI warrants that the Services will perform materially in accordance with the applicable documentation, and that we will provide the Services using commercially reasonable skill and care. EXCEPT AS EXPRESSLY SET FORTH ABOVE, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. HACHIAI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, THAT ANY DEFECTS WILL BE CORRECTED, OR THAT THE EXTRACTION AND PROCESSING OF DOCUMENTS WILL BE 100% ACCURATE IN ALL CASES. YOU ACKNOWLEDGE THAT THE SERVICES USE ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING TECHNOLOGIES THAT MAY PRODUCE RESULTS THAT VARY IN ACCURACY. DOCULYTIX PROVIDES CONFIDENCE SCORES TO ASSIST YOU IN EVALUATING EXTRACTION QUALITY, AND YOU ARE RESPONSIBLE FOR REVIEWING AND VALIDATING EXTRACTED DATA BEFORE RELYING ON IT FOR BUSINESS, LEGAL, OR FINANCIAL DECISIONS.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HACHIAI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF HACHIAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HACHIAI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO HACHIAI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100 USD). The limitations in this Section 14 do not apply to liability arising from HachiAI's gross negligence or willful misconduct, HachiAI's breach of its confidentiality obligations under Section 10, or any liability that cannot be excluded or limited under applicable law.
15. Indemnification
You agree to indemnify, defend, and hold harmless HachiAI, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services in violation of these Terms, your Document Data or Extracted Data (including any claims that such data infringes or misappropriates a third party's intellectual property or other rights), your violation of any applicable law, regulation, or third-party right, or your negligence or willful misconduct. HachiAI will promptly notify you of any claim subject to indemnification, provide reasonable cooperation in the defense of such claim, and grant you sole control of the defense and settlement, provided that you may not settle any claim that imposes obligations on HachiAI or admits fault on HachiAI's behalf without our prior written consent.
16. Term and Termination
These Terms are effective as of the date you first access or use the Services and continue until terminated in accordance with this Section. For paid Plans, the subscription term is as specified at the time of purchase or in the applicable Enterprise Agreement. You may terminate your Account and stop using the Services at any time by contacting us at hello@doculytix.ai or through your Account settings. For Growth plan subscribers, cancellation takes effect at the end of the current billing cycle. HachiAI may suspend or terminate your Account and access to the Services, in whole or in part, at any time and for any reason, including if you breach these Terms, your use of the Services poses a security risk to the Services or any third party, your Account has been inactive for an extended period, or continued provision of the Services to you is no longer commercially viable. Where practicable, HachiAI will provide reasonable notice prior to termination. Upon termination, your right to access and use the Services will immediately cease. HachiAI will delete or return your Document Data within 30 days of termination, unless retention is required by law or agreed upon in an Enterprise Agreement. The following Sections survive termination: Section 6 (Your Data), Section 8 (Intellectual Property), Section 10 (Confidentiality), Section 13 (Warranties and Disclaimers), Section 14 (Limitation of Liability), Section 15 (Indemnification), Section 18 (Dispute Resolution), and Section 19 (General Provisions).
17. Modifications to the Services and Terms
HachiAI reserves the right to modify, update, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We will use reasonable efforts to provide advance notice of material changes. HachiAI may revise these Terms from time to time. When we make material changes, we will post the updated Terms on the Website with a revised "Effective Date" and, for registered users and Enterprise clients, send an email notification of significant changes. Your continued use of the Services after the revised Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and terminate your Account.
18. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions, except where superseded by mandatory applicable legislation in your jurisdiction. Before initiating any formal dispute resolution proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services by contacting us at hello@doculytix.ai. The parties will attempt to resolve the dispute informally for a period of at least 30 days from the date of the initial notice. If the dispute is not resolved informally within 30 days, either party may submit the dispute to binding arbitration administered in Toronto, Ontario, Canada, in accordance with the applicable commercial arbitration rules. The arbitration will be conducted in English by a single arbitrator. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Each party will bear its own costs of arbitration, and the parties will share equally in the fees of the arbitrator. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND HACHIAI EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR OTHER REPRESENTATIVE PROCEEDING, WHETHER AS A PLAINTIFF, CLASS MEMBER, OR OTHERWISE. ALL DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS.
19. General Provisions
These Terms, together with the Privacy Policy and any applicable Enterprise Agreement, constitute the entire agreement between you and HachiAI with respect to the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written. In the event of a conflict between these Terms and an Enterprise Agreement, the Enterprise Agreement will prevail with respect to the subject matter of the Enterprise Agreement. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. No failure or delay by HachiAI in exercising any right under these Terms will constitute a waiver of that right. You may not assign or transfer these Terms, or any rights or obligations hereunder, without HachiAI's prior written consent. HachiAI may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets. HachiAI will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, and cyberattacks. Notices to HachiAI should be sent to hello@doculytix.ai or to HachiAI Inc., 207 Queens Quay W, Toronto, ON M5J 1A7, Canada. Notices to you will be sent to the email address associated with your Account. These Terms do not create any third-party beneficiary rights. You agree to comply with all applicable export and import control laws and regulations. These Terms of Service are available in accessible formats upon request.
